Terms
The main points of how we work with clients. Each project also has its own written agreement, which takes priority over this page.
1. Who these terms apply to
Zeynoc provides consulting, software development and AI engineering services to businesses. These terms apply to business customers within the meaning of section 14 BGB. We do not offer services to consumers.
2. Proposals and contracts
A contract is formed when both sides sign a proposal or statement of work, or when you confirm our proposal in writing (email is enough). The proposal sets out the scope, price, timeline and deliverables.
3. Changes to scope
AI work often reveals new facts along the way. If the scope needs to change, we agree the change in writing, including any effect on price and timeline, before doing the extra work.
4. Your input
You give us the data, access and feedback we need, on time. You confirm that you have the right to share the data with us for the project, including any personal data.
5. Payment
Invoices are due within 14 days unless the proposal says otherwise. Prices are net and VAT is added where it applies. Larger projects are usually billed by milestone.
6. Ownership of results
When the related invoice is paid in full, you receive the exclusive rights to use the code, trained models and documentation made for you. We keep the right to use our general know how, tools and open source components that existed before the project or are not specific to you.
7. Confidentiality and data
We keep your information confidential during and after the project. Where we process personal data for you, we sign a data processing agreement under Article 28 GDPR. We do not use your data to train models for anyone else.
8. What AI can and cannot promise
Machine learning systems work with probabilities. We commit to the measured accuracy agreed in the proposal on the agreed test data. We cannot guarantee identical results on data that differs a lot from it.
9. Liability
We are liable without limit for intent, gross negligence, and injury to life, body or health. For slight negligence we are liable only for breach of essential contract duties, limited to the damage typical and foreseeable for this kind of contract. Liability under the Product Liability Act is not affected.
10. Law and place of jurisdiction
German law applies. The place of jurisdiction for all disputes is Duisburg, Germany, as far as the law allows.
